Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tonyte mobile application, the Tonyte website (tonyte.app and its subpages), and the Tonyte Partner Dashboard (together, the "Services"), operated by Akshat Mohiley (see the Impressum for full contact and identification details). By creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms should be read together with our Privacy Policy, which describes how we handle personal data, and our Community Guidelines, which are incorporated into these Terms by reference and describe the specific behavior expected of every user. If you access the Services as a Partner Dashboard organizer, the separate Partner Terms also apply to that use.

1. Eligibility

You must be at least 16 years old to create an account or otherwise use the Services, consistent with the age threshold described in the Privacy Policy, Section 10. By creating an account, you confirm that you meet this requirement and that the information you provide is accurate.

2. Accounts

You can create a Tonyte account with an email address and password, or by signing in with Google or Sign in with Apple. Partner Dashboard accounts are invitation-only, created by a Tonyte administrator and activated by the partner through a dedicated link — there is no public self-service partner signup (see the Privacy Policy, Section 3.12, and the Partner Terms).

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us at hello@tonyte.app promptly if you believe your account has been accessed without your authorization. Each account is for one individual person; you may not create an account on behalf of someone else or share your account credentials with another person.

3. User Responsibilities

You agree to: provide accurate information when creating and maintaining your account; use the Services only for their intended, lawful, social-discovery purpose; comply with these Terms and the Community Guidelines; and respect other users. You are solely responsible for your own conduct, the content you post, and your interactions with other users, both within the app and at any event, plan, or in-person meeting arranged through the Services.

Tonyte does not vet users, event organizers, or the people you may meet through the Services, and does not conduct background checks. Exercise your own judgment and reasonable caution, particularly when meeting anyone in person for the first time. You remain solely responsible for your own decisions when attending events or meeting other users through the Services.

4. Community Standards

Full behavioral expectations are set out in the Community Guidelines, which cover respectful conduct, harassment, hate speech, spam, fake events, impersonation, fraud, illegal content, adult content, and event safety. Violating the Community Guidelines is a violation of these Terms and may result in the enforcement actions described in Section 9 below.

5. User-Generated Content

"User Content" means anything you post, upload, or submit through the Services — profile photos and bios, chat messages, event and plan details, GIFs you select, reports you file, and any other content you contribute.

You retain all ownership rights in your User Content. By posting it, you grant Tonyte a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Services to you and other users (for example, showing your profile photo to other users, or displaying an event you created to people browsing events). This license ends when you delete the specific content or your account, except to the extent copies reasonably persist in backups for a limited period or as described in the Privacy Policy's retention sections.

You represent that you own or have the necessary rights to any User Content you post, and that it does not infringe any third party's rights. You are solely responsible for your User Content.

6. Event Participation

The Services let you discover events, express interest in them, and coordinate attendance. Tonyte does not currently sell tickets, process event payments, or act as a party to any transaction between you and an event organizer or venue. Any payment, entry requirement, or arrangement for an event is between you and the organizer/venue directly, outside the Services. Event details (time, location, description) are provided by the organizer, and Tonyte does not independently verify them. Tonyte does not guarantee the accuracy, completeness, legality, or continued availability of any event information supplied by organizers, and an event may be changed, rescheduled, or cancelled by its organizer without notice to Tonyte — see Section 14 (Limitation of Liability) and, for partner-published events specifically, the Partner Terms.

7. Plans

"Plans" let you create and join informal social gatherings with other users. As with events, you are responsible for your own safety and judgment when arranging or attending a Plan, and Tonyte is not a party to any arrangement between Plan participants.

8. Chat

The Services include in-app messaging (1:1 matches, event group chats, plan group chats, and private chats). Chat messages are protected in transit by encryption but are not end-to-end encrypted — see the Privacy Policy, Section 3.7, for the full technical description. Do not use chat to share information you would not want handled under the retention and moderation practices described in the Privacy Policy and these Terms.

9. Reporting, Moderation, Suspension, and Termination

Reporting: you can report another user or an event for content or conduct that violates these Terms or the Community Guidelines. Reports are reviewed by Tonyte administrators, as described in the Privacy Policy, Section 3.14.

Moderation: Tonyte may review, remove, or restrict access to any User Content, event, or account that violates these Terms or the Community Guidelines, at our discretion, with or without prior notice where we reasonably believe notice would be inappropriate (for example, in cases of suspected fraud, harassment, or safety risk).

Suspension: we may temporarily suspend your access to some or all of the Services if we reasonably believe you have violated these Terms or the Community Guidelines, pending review.

Termination: we may permanently terminate your account for serious or repeated violations. You may delete your own account at any time through the app's account-deletion feature, which performs the comprehensive data cleanup described in the Privacy Policy, Section 8. Termination by us does not, by itself, automatically trigger that same self-service deletion flow; regardless of how your account was closed, you may still request full erasure of your personal data under Art. 17 GDPR at any time (see the Privacy Policy, Section 9).

10. Intellectual Property

Aside from User Content (Section 5), all content, features, trademarks, logos, and functionality of the Services are owned by or licensed to Akshat Mohiley and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services or their underlying software, except as expressly permitted by these Terms or applicable law.

11. AI-Generated Content

The Services include AI-assisted features — an in-app translation feature and an AI chat assistant — both powered by OpenAI, as described in the Privacy Policy, Sections 3.17–3.18. AI-generated output (including translations and assistant responses) is produced automatically and may be inaccurate, incomplete, or inappropriate; it is not reviewed by a human before being shown to you, and it is not professional advice of any kind (legal, medical, safety, or otherwise). Use your own judgment before relying on any AI-generated content, and do not rely on AI-generated content as the sole basis for any important decision.

12. Third-Party Services

The Services rely on and integrate with third-party services described in the Privacy Policy, Section 4 (including Firebase/Google Cloud, OpenAI, Resend, Google Maps, Nominatim, CARTO, and Giphy). We do not control and are not responsible for the availability, content, or practices of these third parties beyond our obligations as described in the Privacy Policy. Your use of any third-party service invoked through the Services (for example, following a Play Store or App Store link) may be subject to that third party's own terms.

13. Disclaimers

The Services are provided "as is" and "as available." To the extent permitted by applicable law, we disclaim all warranties, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, and we do not warrant that the Services will be uninterrupted, error-free, or completely secure (see the Privacy Policy, Section 14, on security).

14. Limitation of Liability

To the extent permitted by applicable law, Akshat Mohiley's liability for damages arising from or in connection with these Terms or your use of the Services is limited as follows:

  • Unlimited liability applies for damages arising from intentional misconduct or gross negligence, for injury to life, body, or health, and in any other case where liability cannot be limited or excluded under mandatory German law (including product liability law).
  • For ordinary negligence, liability applies only for breach of a material contractual obligation (a "Kardinalpflicht" — an obligation whose fulfillment is essential to the proper performance of the contract and on which you may reasonably rely), and in that case is limited to the loss typically foreseeable at the time these Terms were accepted.
  • Liability is excluded for ordinary negligence outside the two cases above, including for indirect, incidental, or consequential damages, loss of data, or loss of profit, to the maximum extent permitted by law.

Nothing in these Terms limits or excludes any right you have as a consumer under mandatory law that cannot be limited by agreement, and nothing in this Section affects your rights under the Privacy Policy regarding your personal data.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Akshat Mohiley harmless from claims, damages, and reasonable costs (including legal fees) arising from your breach of these Terms, your User Content, or your violation of any third party's rights — except to the extent such claims arise from our own breach of these Terms or applicable law.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany, without regard to its conflict-of-law principles. If you are a consumer, this choice of law does not deprive you of the protection of any mandatory provisions of the law of the country in which you have your habitual residence, consistent with Regulation (EC) No 593/2008 (Rome I). To the extent legally permissible, the place of jurisdiction for disputes is Dresden, Germany.

17. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in the Services or in applicable law. We will update the "Last updated" date above when we do, and, for material changes, provide additional notice where required by law. Continued use of the Services after a change takes effect means you accept the updated Terms.
